Terms and Conditions of Use

IDENTIFICATION OF THE PARTIES

The company MIC MEDIA, a Simplified Joint-Stock Company with a share capital of €23,686, registered with the Trade and Companies Register of PERPIGNAN under number 895 347 466, with intra-community VAT number FR84895347466, whose registered office is located at 1 RUE LEON BLUM 66270 LE SOLER, represented by Mr. Anthony DOUCHY, duly authorized for the purposes hereof as President.

Hereinafter referred to as "ANTO.INFO",

On the one hand,

AND

Any professional, natural person or legal entity, who accesses the Services.

OR

Any individual, natural person, who accesses the Services.

Hereinafter referred to as "User"

On the other hand,

Hereinafter collectively referred to as "the Parties".

IT IS HEREBY AGREED AS FOLLOWS:

PREAMBLE

ANTO.INFO specializes in providing access to a web application designed to facilitate the distribution and promotion of cultural, artistic, musical, sporting, or other types of events organized or promoted by individuals or legal entities, both public and private (hereinafter referred to as "the Site").

ANTO.INFO provides access to a software solution enabling contributing users (hereinafter referred to as "Contributing User(s)") to create event announcements and publish them on the Site (hereinafter referred to as "Announcement(s)"), and for listening users (hereinafter referred to as "Listening User(s)") to consult and interact with them.

The Site and its Announcements are freely accessible to Visitors.

It is expressly understood that the Site is an information service and that ANTO.INFO acts solely as a host of Announcements and a technical intermediary, providing Users with the digital services described herein to facilitate connections between Contributors and Listeners (hereinafter "Services").

It is expressly understood that ANTO.INFO does not edit the content of Announcements and cannot be held responsible for their accuracy, legality, quality, or the actual organization of the event referred to in an Announcement published on the Site.

ANTO.INFO does not in any way participate in the organization or supervision of events published on the Site. ANTO.INFO does not participate in any contractual relationship between a Contributor and a Listener when the latter chooses to register for and/or attend an event that was the subject of an Announcement published on the Site.

The Site is accessible to both non-professional and professional Users who use the Services provided by ANTO.INFO.

ANTO.INFO relies on subcontractors for hosting and backing up the Platform's data. ANTO.INFO certifies that the hosting provider has implemented the necessary organizational and technical measures to ensure the protection and security of Users' Data. ANTO.INFO may change its subcontractor without altering the nature and obligations of these Terms.

ARTICLE 1 – PURPOSE

These Terms and Conditions of Use ("Terms" or "T&Cs") are intended to govern the conditions and modalities of use of the Site and to define the rights and obligations of the various Users of the Site.

ARTICLE 2 – DEFINITIONS

In these Terms, each term shall be understood according to the definitions provided in Annex 1 (ANNEX 1 – DEFINITIONS).

ARTICLE 3 – CONTRACTUAL DOCUMENTS

The present contract consists of the following documents, which are part of the same indivisible contractual framework:

• These Terms and Conditions of Use and its annexes;
• ANTO.INFO’s Privacy Policy.

ARTICLE 4 – DESCRIPTION OF SERVICES

ANTO.INFO provides different Services depending on the User’s profile.

4.1 Regarding Listening Users

A Listening User is a non-professional User who accesses the Site to consult Announcements related to cultural, artistic, musical, sporting, or other events. The Listening User acts for non-professional purposes.

Creating a Listening User Account is necessary to access the Services described in this section 4.1.

It is expressly understood that any service not expressly listed in this section 4.1 is excluded and cannot be demanded by the Listening User.

4.1.1 Creating and managing a Listening User Account

The Listening User will have an Account enabling them to:

• Manage their Account and personalize their information;
• Host their Data related to the Site’s purpose and Services;
• View the content of Announcements.

4.1.2 Searching for and consulting Announcements

Access to Services allows the Listening User to search for event Announcements published on the Site. Search criteria include, in particular:

• Geographic criteria: location of the event described in the Announcement;
• Event categories: cultural, musical, artistic, cinematic, etc.

The Listening User may view the content of the Announcements.

It is expressly understood that ANTO.INFO does not create, modify, or otherwise contribute to the content of Announcements published by a Contributing User.

4.1.3 Creating and managing a Playlist

The Listening User may create a Playlist by selecting Announcements related to their interests. This Playlist may be shared with a restricted community of Site Users, thus promoting event discovery. The Playlist may also be shared on the User’s social networks (META products, X, WhatsApp, etc.).

The Listening User may receive notifications and alerts regarding Announcements selected and saved in their Playlist. Notifications may cover:

• New Announcements corresponding to the Listening User’s interests;
• Updates or changes to saved Announcements;
• Activity within their User Community.

4.2 Regarding Contributing Users

A Contributing User is a professional User who accesses the Site Services described below. The Contributing User acts for professional purposes related to their core business of organizing or promoting events of any kind.

Creating a Contributing User Account is necessary to access the Services described in this section 4.2.

It is expressly understood that any service not expressly listed in this section 4.2 is excluded and cannot be demanded by the Contributing User.

4.2.1 Creating and managing a Contributing User Account

The Contributing User will have an Account enabling them to:

• Manage their Account and personalize their information;
• Host their Data related to the Site’s purpose and Services described herein;
• Create, manage, modify, and delete their Announcements;
• Receive notifications and monitor interactions and comments from Listening Users regarding their Announcements;
• Grant access to Invited Users (hereinafter "Invited User(s)") by creating specific User accounts for them to access Services.

Invited Users, acting under the authority and responsibility of the respective Contributing User, may access Services according to the permissions defined by the latter. Each Invited User must first read and accept the Terms and Conditions of Use before accessing the Site.

4.2.2 Editing and publishing Announcements

The Contributing User may create Announcements to publish them on the Site using Announcement credits under the terms and conditions defined in ANTO.INFO’s General Terms of Sale. Each Announcement must include information provided by the Contributing User, as indicated in ANTO.INFO’s Privacy Policy.

The Site hosts and publishes the Announcements so that they can be viewed by Visitors and Listening Users.

The Site will send notifications to the Contributing User concerning the follow-up of their Announcement during its publication period, and about reactions and comments from Listening Users on the Announcement.

The Contributing User acknowledges that published Announcements must comply with applicable laws and regulations and must not contain any information contrary to regulations or good practices regarding the subject and organization of the event. The Contributing User further acknowledges that the Announcement must comply with the Site’s community rules and be relevant to the Site’s purpose and the Services provided to the Contributing User.

4.2.3 Sharing on social networks

The Contributing User may share and distribute their Announcement on their social networks (META products, X, WhatsApp) through built-in Site features, thus facilitating promotion of the event concerned.

4.2.4 Subscription to additional paid Services

ANTO.INFO also offers additional services to help improve the visibility and distribution of Announcements, such as generating personalized audio podcasts, providing a plugin that enables the Contributing User to automatically retrieve content from their Announcements to integrate it into their own website, etc.

The subscription and delivery terms for these additional services are defined in ANTO.INFO’s General Terms of Sale.

4.3 Regarding Invited Users

An Invited User is an employee, provider, or partner authorized by the Contributing User who registers and accesses the Services based on the access granted by the Contributing User. The Invited User acts under the authority and responsibility of the Contributing User, who remains responsible for the actions of their Invited Users on the Site.

ANTO.INFO provides Invited Users with a range of Services allowing them to create and manage Announcements on behalf of the Contributing User they report to.

It is expressly understood that the contractual relationship between ANTO.INFO and the Contributing User subscribing to the Services is a key condition for the Invited User’s access to the Services described in this section 4.3. Accordingly, the Invited User benefits from the Services described in this section 4.3.

4.3.1 Creating and managing an Invited User Account

The Invited User has access to an Invited User Account, enabling them to:

• Consume the Contributing User’s Announcement credits to create and publish Announcements on their behalf;
• Enter the content of an Announcement with the required information as stated in ANTO.INFO’s Privacy Policy.

4.3.2 Managing and tracking Announcements

The Invited User may:

• Access and track published Announcements;
• View notifications and responses from Listening Users regarding the Announcement.

ARTICLE 5 – ACCESS TO SERVICES

5.1 Regarding Listening Users

5.1.1 Prior Registration

Registration is required to become a Listening User and access the Services.

The information requested for Listening User registration is listed in our Privacy Policy, which forms an integral part of these Terms and Conditions.

To validate registration, the Listening User must read and accept these Terms and Conditions.

5.1.2 Access to Services

Once registered, the Listening User will access the Services by entering their login details as follows:

• Email address
• Password

5.2 Regarding Contributing Users

5.2.1 Prior Registration

Registration is required to become a Contributing User and access the Services.

To validate registration, the Contributing User must read and accept these Terms and Conditions.

Purchasing Announcement credits and/or subscribing to a Subscription is necessary for the Contributing User to access the specific paid Services described in ANTO.INFO’s General Terms of Sale.

A legal entity registering on the Site must provide details of the designated Administrator who will manage login details and act on its behalf regarding the Services.

The information requested for Contributing User registration is listed in our Privacy Policy, which forms an integral part of these Terms and Conditions.

5.2.2 Access to Services

Once registered, the Contributing User will access the Services by entering their login details as follows:

• Email address
• Password

5.3 Regarding Invited Users

5.3.1 Prior Registration

Registration is required to become an Invited User and access the Services.

To validate registration, the Invited User must read and accept these Terms and Conditions.

The information requested for Invited User registration is listed in our Privacy Policy, which forms an integral part of these Terms and Conditions.

5.3.2 Access to Services

Once registered, the Invited User will access the Services by entering their login details as follows:

• Email address
• Password

ARTICLE 6 – SERVICE FEES

6.1 Listening User

Access to Services is free of charge.

6.2 Contributing User

Access to the Services described herein is included.

6.3 Invited User

Access to the Services described herein is included.

ARTICLE 7 – TERM

These Terms and Conditions shall remain in effect for an indefinite period from the time the User creates an Account on the Site and accepts these Terms and Conditions.

For Invited Users, these Terms and Conditions shall remain in effect for as long as access to the Services is provided by the associated Contributing User.

These Terms and Conditions may be terminated early under the provisions set out in Article 17.

ARTICLE 8 – ANTO.INFO’S OBLIGATIONS

8.1 Providing Access to Services

ANTO.INFO undertakes to make its best efforts to provide Users with continuous and secure access to the Services described herein.

This obligation to provide access is a best-efforts obligation in accordance with industry standards for SaaS solutions.

8.2 Corrective Maintenance of Services

ANTO.INFO provides corrective maintenance of the Services to ensure proper operation, as a best-efforts obligation.

In the event of technical issues or malfunctions affecting the Site, ANTO.INFO will take the necessary steps to resolve the problem as quickly as possible.

8.3 Data Hosting and Security

ANTO.INFO hosts User Data on secure servers.

ANTO.INFO undertakes to ensure that its hosting subcontractor has implemented the necessary technical and organizational measures to preserve the integrity, confidentiality, backup, and security of the Data.

ANTO.INFO also commits to implementing the necessary technical and organizational measures to ensure the confidentiality, integrity, accessibility, and backup of Data.

ARTICLE 9 – USER OBLIGATIONS

9.1 Proper Use of Services

The User agrees to access and use the Services in accordance with their purpose as described in these Terms and Conditions and in compliance with applicable laws and regulations.

The Contributing User agrees to:

• Create and publish Announcements directly related to the purpose of the Site and in accordance with the Community Guidelines set out in ANNEX 2 of these Terms and Conditions.
• Refrain from publishing Announcements that are immoral, unlawful, false, misleading, discriminatory, defamatory, or infringe upon the rights of third parties.
• Not distribute unsolicited advertising content, unauthorized commercial messages, or references to brands, trade names, and company names without permission from the concerned third parties.

If an Announcement does not comply with these Terms and Conditions, ANTO.INFO may remove it without prior notice. ANTO.INFO may also terminate the Account of the relevant Contributing User as provided in Article 17 of these Terms and Conditions.

The User agrees to use the Services fairly and not to misuse or bypass their intended use. Users also agree to provide truthful, sincere, and necessary Data when using the Services provided by ANTO.INFO. Accordingly, the User specifically agrees not to:

• Diversion of Services for purposes other than those defined by the Site;
• Publish or store Data unrelated to the purpose of the Services or irrelevant Data;
• Store or process Data in violation of applicable personal data protection laws or any other applicable legal or regulatory obligations.

In such cases, ANTO.INFO reserves the right to suspend or terminate the User’s access to the Services as provided in Article 17 of these Terms and Conditions.

9.2 Security and Confidentiality of Login Credentials

The User is solely responsible for the confidentiality and use of their login credentials. In particular, the User agrees to:

• Not disclose their credentials or allow third-party access to their Account;
• Implement adequate measures to safeguard their credentials;
• Create a password in compliance with CNIL recommendations during initial registration or when changing their password later.

In the event of loss, theft, or fraudulent use of their credentials, the User must immediately notify ANTO.INFO. Otherwise, any actions performed using the User’s Account will be deemed to have been carried out by the User and will be their responsibility.

ANTO.INFO cannot be held liable for any loss or damage resulting from the User’s failure to comply with these obligations.

9.3 Use of Compatible IT Systems for the Services

The User acknowledges that using the Services requires a reliable IT system and a stable Internet connection. The User is responsible for:

• Maintaining their IT system in good working order to ensure optimal use of the Services;
• Maintaining sufficient Internet access for uninterrupted access to the Services.

ANTO.INFO cannot be held liable for any malfunction or inability to access the Services caused by the User’s incompatible or defective equipment.

ARTICLE 10 – LIABILITY OF THE PARTIES

10.1 ANTO.INFO’s Liability

The Site and Services are designed to facilitate the publication and promotion of events by Contributing Users. ANTO.INFO does not create or edit Announcements published on the Site. ANTO.INFO does not draft Announcement content or participate in organizing the event referred to in an Announcement and acts only as a hosting service provider for these Announcements.

ANTO.INFO is not a party to any contractual relationship between a Contributing User and a Listening User who chooses to participate in an event promoted via an Announcement. As a result, any disputes regarding the event itself must be settled directly between the Listening User and the Contributing User. ANTO.INFO cannot be held liable for any direct or indirect damage suffered by a Listening User when participating in an event published on the Site.

ANTO.INFO is not liable for the content of an Announcement that violates any law, regulation, or these Terms and Conditions.

The Site and Announcements may contain links to third-party websites. Since ANTO.INFO does not edit Announcement content or control these third-party websites, ANTO.INFO disclaims all responsibility regarding their content or services.

ANTO.INFO can only be held liable for issues directly attributable to it and which cause direct harm to the concerned User, excluding any indirect damages.

ANTO.INFO cannot be held liable for failure to provide access to the Services in the event of:

• Malfunctions caused by the User’s IT system;
• Improper use of the Services by Users;
• Outages, interruptions, or failures of the User’s Internet connection;
• Any other external event beyond the control of ANTO.INFO.

ANTO.INFO is not liable for temporary unavailability of the Services during corrective maintenance operations.

ANTO.INFO is not liable for any misuse of the Services by Users. ANTO.INFO is not liable for the use of the Services to store, process, or distribute unlawful or inappropriate Data.

ANTO.INFO is not liable for failure to provide access to the Services in cases of User equipment failures or poor Internet connections.

10.2 User Liability

The User is fully responsible for all consequences, direct or indirect, arising from their use of the Services. The User acknowledges that any breach of obligations under these Terms and Conditions may result in their liability to ANTO.INFO, including sanctions such as suspension or termination of their Account, without prejudice to any damages or remedies pursued by ANTO.INFO.

The User is solely responsible for any Data they publish or store on the Site.

The Contributing User is fully responsible for the content of any Announcement they publish that violates applicable regulations or their contractual obligations.

The Contributing User is responsible for the actions of any Invited Users to whom they grant access. The liability of the Contributing User for the actions of an Invited User does not exclude the Invited User’s own personal liability.

ARTICLE 11 – FORCE MAJEURE

The Parties cannot be held liable if the non-performance or delay in performing any of their obligations under these Terms and Conditions is due to a force majeure event.

ARTICLE 12 – MAINTENANCE

ANTO.INFO reserves the right to temporarily suspend access to the Services to carry out maintenance and corrective updates. ANTO.INFO will notify Users as soon as possible of the planned maintenance schedule.

ARTICLE 13 – COOKIES

Any cookie processing carried out as part of the use of our Services is subject to our Privacy Policy, which forms an integral part of these Terms and Conditions. The Privacy Policy is directly accessible on our Site.

ARTICLE 14 – MODIFICATIONS

ANTO.INFO reserves the right to modify these Terms and Conditions at any time.

The new version of the Terms and Conditions will be available on our Site.

Users will be automatically notified via a pop-up when logging into the Site, inviting them to read and accept the new version of the Terms and Conditions by checking the following box: "I declare that I have read and accept the Terms and Conditions."

ARTICLE 15 – PERSONAL DATA

Any processing of personal data under these Terms and Conditions is subject to our Privacy Policy, which forms an integral part of these Terms and Conditions.

By accepting these Terms and Conditions, the User agrees to the processing of their data under the conditions and for the purposes described in the Privacy Policy of ANTO.INFO.

ARTICLE 16 – INTELLECTUAL PROPERTY

The Site and its components are protected by intellectual property laws and, in particular, by copyright laws.

Any full or partial reproduction or representation of the Site or any of its components is prohibited and constitutes an infringement punishable under article L. 335-2 of the French Intellectual Property Code.

Granting access to the Site to Users does not constitute a transfer of any intellectual property rights over the Site.

ANTO.INFO remains the holder of the intellectual property rights to its logos, trademarks, designs, software, Site, corporate name, and trade name. The User is therefore prohibited from reproducing, representing, or exploiting the aforementioned elements without the prior express written consent of ANTO.INFO, which may be subject to financial compensation.

Users are solely responsible for the content they publish on the Site, including any text, images, audio, or video elements they insert into their Announcements. They agree not to include content protected by intellectual property rights belonging to third parties without obtaining the necessary permissions.

Consequently, Users expressly acknowledge that ANTO.INFO cannot be held liable for any content inserted into an Announcement that violates third-party intellectual property rights. By accepting these Terms and Conditions, Users agree to only insert content they own or for which they have obtained the necessary permissions and to indemnify ANTO.INFO against any claims or legal actions related to such content.

ARTICLE 17 – TERMINATION – ACCOUNT DELETION – SANCTIONS

The User may request the deletion of their Account at any time.

Any breach by a User of the obligations provided in these Terms and Conditions, applicable laws, or any applicable rule regarding the use of the Services, may result in the temporary suspension or permanent deletion of their Account under the conditions set out below.

Before any permanent deletion of the Account, ANTO.INFO will notify the User by email of the identified breaches and will grant them 8 days to respond and, if applicable, remedy the situation.

At the end of this period:

• If the User does not respond or if their response is deemed insufficient, ANTO.INFO may proceed with the permanent deletion of their Account, with no possibility of reactivating it or creating a new Account on the Site;
• If the User provides a satisfactory response and remedies the identified breaches, their Account may be maintained without suspension or deletion.

The deletion of the User's Account automatically terminates these Terms and Conditions. If the User is a Contributor with a Subscription, the termination of these Terms and Conditions will also terminate their Subscription.

In the event of termination of the Subscription due to the deletion of the Contributor User's Account for a breach of these Terms and Conditions, any amounts paid for the Subscription will remain acquired by ANTO.INFO. The Contributor User will not be entitled to any refund, even partial, of the amounts already paid, to compensate for the harm caused to ANTO.INFO by the Contributor User’s breach.

The termination of the contractual relationship between ANTO.INFO and the Contributor User will result in the deletion of the Guest User accounts granted access by the Contributor User.

It is specified that the termination of these Terms and Conditions with one User will not affect the validity of contractual relationships established between Users in the context of participation in an event for which an Announcement was published on the Site.

ARTICLE 18 – APPLICABLE LAW AND LANGUAGE OF THE CONTRACT

These Terms and Conditions are subject to French law.

The language of these Terms and Conditions is French. In case these Terms and Conditions are translated into one or more foreign languages for international purposes, only the French version shall prevail in case of contradiction or discrepancy in interpretation.

ARTICLE 19 – DISPUTE RESOLUTION

19.1 Professional Users

Any dispute regarding the conclusion, interpretation, execution, or termination of these Terms and Conditions shall be submitted to the Commercial Court of Perpignan.

19.2 Non-professional Users

Any dispute regarding the conclusion, interpretation, execution, or termination of these Terms and Conditions that cannot be resolved amicably between ANTO.INFO and a non-professional User will be submitted to the competent courts under ordinary law.

The User is informed that they may, in any event, resort to conventional mediation, particularly through the Consumer Mediation Commission or existing sector-specific mediation services, or to any alternative dispute resolution method in case of a dispute.

If the dispute must be brought before the courts, it is reminded that under Article L 141-5 of the French Consumer Code: the consumer may choose to bring the case, in addition to one of the territorially competent courts under the Code of Civil Procedure, before the court of the place where they resided at the time of the contract conclusion or of the occurrence of the harmful event.

ANNEX 1 – DEFINITIONS

1.1 Site

Refers to the Web application provided by ANTO.INFO to Users.

1.2 Services

Refers to the services provided by ANTO.INFO to the various Users as described in these Terms and Conditions. Contributor Users may subscribe to additional paid services under the terms and conditions of ANTO.INFO’s Terms of Sale.

1.3 Listener

Refers to any individual accessing the Services provided for Listener Users.

1.4 Contributor

Refers to any individual or legal entity accessing the Services provided for Contributor Users.

1.5 Guest

Refers to any individual or legal entity accessing the Services provided for Guest Users.

1.6 Responsible Administrator

Refers to the individual designated by the Contributor User to act on their behalf in connection with the subscription and use of the Services.

1.7 User

Refers to any individual or legal entity that accepts the Terms and Conditions of the Site and accesses the Services.

1.7.1 Listener User

Refers to any individual who creates a Listener Account and accesses the Services to view Announcements, create a Playlist, and interact with their community of Listener Users under the terms and conditions described in these Terms and Conditions.

1.7.2 Contributor User

Refers to any individual or legal entity that creates a Contributor Account and accesses the Services provided to Contributor Users.

1.7.3 Guest User

Refers to any individual or legal entity that creates a Guest Account and accesses the Services provided to Guest Users.

1.8 Announcement

Refers to all content of an announcement related to a sports, cultural, artistic, musical, or any other type of event created and published by a Contributor User. An Announcement may be created by using an Announcement credit, which can be purchased by the Contributor User under the conditions described in the Terms of Sale of ANTO.INFO.

1.9 GDPR

Refers to all applicable laws and regulations on personal data protection applicable to either party under this agreement, including Regulation (EU) 2016/679 (General Data Protection Regulation) and the amended French Data Protection Act No. 78-17 of January 6, 1978.

1.9.1 Processing

Refers to any operation or set of operations performed with or without automated processes on personal data, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination, or otherwise making available, alignment or combination, restriction, erasure, or destruction.

1.9.2 Data Controller

Refers to the entity that determines the purposes and means of processing personal data.

1.9.3 Processor

Refers to the entity that processes personal data on behalf of the Data Controller.

1.9.4 Data

Refers to all personal and general information entered by a User and stored on the Site as part of the use of the Services.

1.9.5 Personal Data

According to Article 4 of the GDPR, this refers to any information relating to an identified or identifiable individual...

1.9.6 Sensitive Data

Refers to data that may reveal racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, as well as the processing of genetic data, biometric data for uniquely identifying an individual, data concerning health, or data concerning an individual’s sex life or sexual orientation.

1.10 Registration

Refers to the prerequisite process for creating an Account and becoming a User.

1.11 Account

Refers to the account created by a User to access the Services.

1.11.1 Listener Account

Refers to the Listener User’s account.

1.11.2 Contributor Account

Refers to the Contributor User’s account.

1.11.3 Guest Account

Refers to the Guest User’s account.

1.12 Cookie

Refers to a small file placed on the User’s hard drive when visiting certain websites or accessing applications, which stores information for future use.

1.13 Corrective Maintenance

Refers to procedures implemented by ANTO.INFO to maintain or update any part of the Site’s features and Services.

1.14 Credentials

Refers to the User’s username and password used to log in to their Account.

1.15 Subscription

Refers to access to the additional paid Services described in the Terms of Sale of ANTO.INFO, which can be subscribed to by a Contributor User.

1.16 Visitor

Refers to the list of Announcements selected by a Listener User that they can listen to and share with their User community.

1.19 Audio Podcast

Refers to an audio file of a maximum duration of 20 seconds that any User can listen to by clicking the “play” button on the relevant Announcement.

1.20 Video Podcast

Refers to a video file ordered by the Contributor User to present their Announcement under the terms and conditions described in the Terms of Sale of ANTO.INFO.
